The legal bits. We've kept the language as plain as we can; nothing here is a substitute for reading it yourself.

These Terms of Service ("Terms") govern your access to and use of the InkSpoke desktop, mobile, and web applications and the related backend services (collectively, the "Service") provided by PMT Labs, LLC ("PMT Labs", "we", "us", or "our"). By downloading, installing, accessing, or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility & Account

You must be at least 13 years old (16 in the EU/UK) to use the Service. If you create an account, you agree to provide accurate information, to keep your credentials confidential, and to be responsible for all activity under your account. Notify us immediately of any unauthorized use.

2. License to Use the Software

Subject to your compliance with these Terms and your applicable subscription tier, PMT Labs grants you a limited, non-exclusive, non-transferable, revocable license to install and use the InkSpoke desktop and mobile applications for personal or internal business use. This license does not include the right to redistribute, sublicense, or create derivative works based on the Service.

3. Subscription Tiers & Payments

  • Free — limited daily usage with no payment required.
  • Pro (subscription) — recurring monthly or annual subscription, billed in advance. You can cancel anytime; access continues through the end of the paid period.
  • Perpetual (one-time) — one-time payment for a lifetime device-bound license, including future updates within the same major version.

Payments are processed by Stripe. Prices are listed in USD unless stated otherwise; applicable taxes may be added at checkout. Refunds are issued at our discretion and in compliance with applicable consumer protection law.

4. Acceptable Use

You agree not to, and not to permit others to:

  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service, except where this restriction is prohibited by applicable law.
  • Use the Service to violate any law, infringe intellectual property rights, or transmit unlawful, harassing, defamatory, or harmful content.
  • Attempt to gain unauthorized access to any part of the Service or interfere with its operation.
  • Use the Service to develop a competing product or to scrape or harvest data.
  • Resell, redistribute, or sublicense access to the Service without our prior written consent.

We may suspend or terminate accounts that violate these rules.

5. Bring Your Own Key (BYOK) and Third-Party Services

The Service supports connecting to third-party AI providers (OpenAI, Anthropic, Google, ElevenLabs, Deepgram, etc.) using your own API keys. When you do so:

  • You are subject to the terms, pricing, and acceptable-use policies of the chosen provider.
  • You are responsible for any usage charges incurred through your keys.
  • InkSpoke is not a party to your relationship with the provider, does not control their service, and is not responsible for their actions or content.

6. Your Content

You retain all rights to the audio, transcripts, dictionaries, workspaces, and any other content you create or upload using the Service ("Your Content"). You grant PMT Labs a limited, worldwide, non-exclusive, royalty-free license to host, transmit, and process Your Content solely as needed to provide the Service to you (for example, to sync data across your devices). We do not use Your Content to train models.

7. Intellectual Property

The Service, including all software, design, trademarks, and content provided by PMT Labs, is owned by PMT Labs or its licensors and is protected by intellectual property laws. Nothing in these Terms transfers ownership to you. The InkSpoke name, logo, and brand are trademarks of PMT Labs.

8. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

9. Beta and Pre-Release Features

We may offer features clearly labeled as beta, alpha, preview, or pre-release. These features are provided as-is, may change or be discontinued at any time, and may not be subject to the same service levels as generally available features.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not guarantee that the Service will be uninterrupted, error-free, or meet your specific requirements.

11. Limitation of Liability

To the maximum extent permitted by law, in no event shall PMT Labs, its officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our aggregate liability for any claim arising under these Terms is limited to the greater of (a) the amounts you paid PMT Labs in the 12 months preceding the claim, or (b) USD $100.

12. Indemnification

You agree to indemnify and hold harmless PMT Labs from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service in violation of these Terms, (b) Your Content, or (c) your violation of any law or third-party rights.

13. Termination

You may stop using the Service at any time and delete your account via Settings → Account or by emailing us. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends, and provisions that by their nature should survive (e.g., ownership, disclaimers, liability limits) will continue to apply.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Travis County, Texas, except where applicable consumer-protection law provides for a different forum.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you in the app or by email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, stop using the Service before the effective date.

16. Miscellaneous

These Terms, together with the Privacy Policy and any product-specific terms we present to you in-app, constitute the entire agreement between you and PMT Labs regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
